Acceptance of These Terms of Service
Alamas Labs, Inc. ("Canigo", "we", "us", or "our") provides our services (described below) and related content to you through our website(s) located at https://getcanigo.com/ (the "Site") and through our mobile applications and related technologies ("Mobile Apps", and collectively, such Mobile Apps and the Site, including any updated or new features, functionality and technology, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms of Service"). By accessing, browsing, or otherwise using the Site, Mobile Apps, or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms of Service were last revised. We will also notify you of any material changes, either through the Service user interface, a pop-up notice, email, or through other reasonable means. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST CANIGO ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

At Canigo, we respect the privacy of our users. For more information please see our Privacy Policy. By using the Service, you consent to our collection, use and disclosure of personal data and other data as outlined therein.
Additional Terms
In addition, when using certain features through the Service, you will be subject to any additional terms applicable to such features that may be posted on or within the Service from time to time. For example, your use of the Canigo Card is subject to the Canigo Cardholder Agreement. All such terms are hereby incorporated by reference into these Terms of Service.
Eligibility and Registration
Eligibility
To access and use the Service, you must be at least eighteen (18) years old and have the legal capacity to enter into binding contracts. By using the Service, you represent and warrant that you (i) are at least eighteen (18) years of age, (ii) are not a resident of, or located in, any jurisdiction that is subject to U.S. government embargoes or sanctions, (iii) are not listed on any U.S. government list of prohibited or restricted parties, and (iv) will comply with all applicable laws and regulations in connection with your use of the Service.
Your Registration Obligations
You may be required to register with Canigo or provide information about yourself in order to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself.
Member Account, Password, and Security
You are responsible for maintaining the confidentiality of your account details, including the private key for your digital wallet, and are fully responsible for any and all activities that occur under your account. Canigo and its affiliates will not be liable for any loss or damage arising from your failure to comply with this paragraph.
Non-Custodial
The Service is a purely non-custodial application, meaning we do not ever have custody, possession, or control of your digital assets at any time. You are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold and you should never share your wallet credentials or seed phrase with anyone.
No Fiduciary Duties
This Agreement is not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party.
Use of Canigo Services
Canigo Card
The Mobile Apps may give you access to manage the Canigo Card, which is issued by a third party card issuer. Your eligibility for, and use of the Canigo Card, is subject to the terms and conditions disclosed to you during the card account opening process.
Self-Custodial Wallet
When you sign up for the Mobile App, you will be asked to create a non-custodial wallet to hold your digital assets. At all times you will retain control and ownership over your tokens. Canigo does not retain any copy of your private key or maintain custody of the digital assets associated with your Wallet.
Digital Asset Transfer
Through the Mobile Apps, you will be able to transfer digital assets from the Wallet to third parties or request third parties to transfer digital assets to the Wallet. All transfer transactions are executed and confirmed on public blockchains, and are irreversible. Canigo does not control any blockchain network and does not guarantee a transfer transaction will be confirmed by a network.
Purchase and Sale of Digital Assets with Fiat Currency
Through third-party licensed financial services providers, you can purchase or sell digital assets with or for fiat currency. Your transactions and activities will be subject to the terms and conditions of such Financial Services Provider.
Decentralized Protocols
The Service may provide access to or link to third-party decentralized protocols. When interacting with any Third Party Protocols, you understand that you are not transferring any assets to us, we are not a party to the transactions, and we do not act in any intermediary, fiduciary, or advisory capacity.
Canigo Earn
The Service may provide access to Canigo Earn, which allows you to allocate digital assets from your Wallet to non-custodial vault strategies that interact with third-party decentralized finance protocols. Neither Canigo nor any affiliate takes possession or control of your digital assets.
Returns (if any) in Canigo Earn are generated by the underlying DeFi Protocols, which we do not own, control, or operate. DeFi Protocols involve significant risks, including smart-contract vulnerabilities, market and liquidity risks, liquidation events, oracle or governance failures, and other operational risks that may result in partial or total loss of assets.
Any rates, yields, "APY," or similar performance information displayed for Canigo Earn are provided for informational purposes only, reflect historical or estimated returns, are variable, and are not guaranteed.
Fees
Certain actions within the Service may include fees charged by Canigo; any such fees will be clearly disclosed to you at or before the time of the relevant action. In addition, transaction-based fees charged by blockchain networks may apply. We reserve the right to introduce, modify, or adjust fees at any time.
User Security
For iOS users, Canigo leverages iCloud for automatic backup of your wallet, including your private keys and recovery phrases. It is crucial to ensure that your iCloud account remains secure and accessible only to you. Canigo will not be responsible for any losses due to misconfiguration of backup functionality.
Conditions of Access and Use
Assumption of Risks
- Market Risk: The value of cryptocurrencies and digital tokens is highly volatile and can fluctuate widely.
- Operational Risk: While Canigo utilizes advanced security measures, the security of your assets also depends on your adherence to best security practices.
- Regulatory Risk: The regulatory environment for blockchain technologies and digital assets is evolving.
User Conduct
You agree not to use the Service to:
- Infringe or violate any intellectual property rights of a third party
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Violate any applicable local, state, national, or international law
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation
- Engage in activity that seeks to defraud us or any other person or entity
- Engage in activity that violates any laws concerning the integrity of trading markets, including "rug pulls", pumping and dumping, and wash trading
- Further or promote any criminal activity or enterprise
- Engage in any data mining, scraping, or similar data gathering methods
Mobile Services and Software
Subject to these Terms of Service, Canigo hereby grants to you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install the Mobile App on one mobile device and use the Mobile App for your own personal use solely to access and use the Service.
The technology and software underlying the Service are the property of Canigo, its affiliates, and their licensors. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code.
Intellectual Property Rights
The Service may contain content or features that are protected by copyright, patent, trademark, trade secret, or other proprietary rights. The Canigo name and logos are trademarks and service marks of Canigo. Nothing in these Terms of Service should be construed as granting any license or right to use any of Canigo Trademarks.
Third-Party Services and Websites
The Service may provide links or other access to services, sites, technology, and resources that are provided by third parties. Canigo has no control over and is not responsible for such Third-Party Services. We encourage you to review the privacy policies of third parties prior to using such services. Canigo enables these Third-Party Services merely as a convenience and the integration does not imply an endorsement or recommendation.
Indemnification
To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless Canigo, its affiliates, and their respective officers, employees, directors, service providers, licensors, and agents from any and all losses, damages, expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Service, your violation of these Terms of Service, or your violation of any rights of another.
Disclaimer of Warranties
BY ACCESSING AND USING THE SERVICE, YOU REPRESENT THAT YOU ARE FINANCIALLY AND TECHNICALLY SOPHISTICATED ENOUGH TO UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH USING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS.
YOU UNDERSTAND THAT THE MARKETS FOR DIGITAL ASSETS ARE NASCENT AND HIGHLY VOLATILE. YOU UNDERSTAND THAT ANYONE CAN CREATE A TOKEN, INCLUDING FAKE VERSIONS OF EXISTING TOKENS. SO-CALLED STABLECOINS MAY NOT BE AS STABLE AS THEY PURPORT TO BE.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE CANIGO PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
Limitation of Liability
THE CANIGO PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS. IN NO EVENT WILL THE CANIGO PARTIES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID CANIGO FOR ACCESS TO THE SERVICE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
Dispute Resolution By Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
1. Agreement to Arbitrate
You agree that any and all disputes or claims that have arisen or may arise between you and Canigo will be resolved exclusively through final and binding arbitration, rather than a court, except that you may assert individual claims in small claims court. You agree that you and Canigo are each waiving the right to a trial by jury or to participate in a class action. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
2. Prohibition of Class and Representative Actions
YOU AND CANIGO AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING.
3. Pre-Arbitration Dispute Resolution
A party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute. The Notice to Canigo should be sent to legal@openfort.io. If Canigo and you do not resolve the claim within sixty (60) calendar days, you or Canigo may commence an arbitration proceeding.
4. Arbitration Procedures
Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association's rules and procedures. All issues are for the arbitrator to decide. Decisions by the arbitrator are enforceable in court.
5. Costs of Arbitration
Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules. Canigo and you shall split them equally, unless you demonstrate economic inability to pay.
Termination
You agree that Canigo, in its sole discretion, may suspend or terminate your account or use of the Service for any reason, including for lack of use or if Canigo believes that you have violated these Terms of Service. Any termination of your access may be effected without prior notice. Canigo may immediately deactivate or delete your account and all related information.
General
These Terms of Service constitute the entire agreement between you and Canigo governing your access and use of the Service. These Terms of Service will be governed by the laws of the State of Delaware without regard to its conflict of law provisions. Any claim or cause of action arising out of or related to use of the Service must be filed within one (1) year after such claim arose or be forever barred.
